Pan Jamaica Group Limited (PJAM) has advised that on March 4, 2025, the ultimate beneficial owners of Boswell Investment Limited (Boswell), the second largest shareholder in PJAM, conducted a restructuring exercise to simplify the ownership structure of its assets. The ultimate beneficial owners of Boswell who include Chairman Stephen Facey and other family members (the Facey Family), previously held their collective PJAM shareholdings in Boswell through intermediate holding companies. PJAM has further advised that the restructuring exercise involved the transfer of 341,787,133 PJAM shares from Boswell to five intermediate holding companies. These transfers did not result in any change to the beneficial ownership of the shares.
