Sygnus Credit Investments Limited (SCI)has advised that an Extraordinary General Meeting (EGM) will be held at Bella Rosa Road, Gros Islet, Saint Lucia, on Tuesday, September 29, 2020 at 11:00 a.m. to consider and if thought fit, pass the following resolutions:
1. ADDITIONAL PUBLIC OFFER (APO) Resolution No. 1 (Ordinary Resolution) “That the Company, desiring to raise additional equity investment by an issue of ordinary shares, be and is hereby authorised to raise such additional equity investment by way of a secondary invitation to the public to subscribe for such shares (herein an “Additional Public Offering”) in lieu of a rights issue to existing stockholders; such Additional Public Offering to be on such terms and subject to such conditions as the Directors may deem fit and that the ordinary shares when issued in the Additional Public Offering be converted to stock units and, for the avoidance of doubt, it is hereby declared that such stock units shall rank pari passu in all respects with the existing ordinary stock units of the Company.
2. ADOPTION OF NEW ARTICLES OF ASSOCIATION Resolution No. 2 (Special Resolution) That the Articles of Association sent herewith be and are hereby approved and adopted as the Articles of Association of the Company in place of its existing Articles of Association.” For members in Jamaica, a satellite location will be at the Terra Nova All-Suite Hotel, 17 Waterloo Road, Kingston 10. The meeting will commence at 10:00 o’clock Jamaica time.
