Jamaican Teas Limited (JAMT) has advised that an Extraordinary General Meeting of the Company will be held at 2 Bell Road, Kingston 11 on Tuesday, July 31, 2018 at 3pm for the purpose of considering and, if thought fit, approving the following resolution as an ordinary resolution:
“Whereas Jamaican Teas Limited (“the Company”) has entered into discussions to acquire a significant interest in a target company.
Be it resolved that in consideration of the Company acquiring shares in the aforementioned target company the Directors be empowered to determine and issue shares up to three hundred million (300,000,000) ordinary shares either to the Company‘s existing shareholders by way of a renounceable rights issue or directly to the sellers of the shares in the target company in which the Company proposes to take an interest.
Be it resolved that the Directors be empowered to consider a combination or variation of these two actions as they determine to be most advantageous to the Company and that this power to issue shares will expire on the day of the Company’ next Annual General Meeting. “
